These Terms and Conditions apply to the Diamond Forest Inc’s website located at www.diamondforest.com, and all associated websites, mobile platforms, applications, appointment channels, and services operated by Diamond Forest Inc, its subsidiaries, affiliates, and authorized representatives (collectively, the “Site”). Please read these Terms and Conditions carefully before using the Site.

These Terms and Conditions govern your use of, and any purchase from, the Diamond Forest Site, and constitute an agreement between you and Diamond Forest. 

BY ACCESSING, VISITING, OR USING THE SITE IN ANY MANNER, INCLUDING BROWSING PRODUCTS OR SERVICES, COMMUNICATING WITH US, OR PLACING AN ORDER, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND ANY APPLICABLE POLICIES REFERENCED HEREIN.

Diamond Forest reserves the right to revise, update, or modify these Terms and Conditions at any time in its sole discretion, and any such changes shall become effective immediately upon posting on the Site. Your continued use of the Site following the posting of any changes constitutes your acceptance of the revised Terms and Conditions. If you do not agree to these Terms and Conditions, you must discontinue access to and use of the Site immediately.

Ownership of Website Content and Intellectual Property

All materials, features, and content made available on or through the Site, including but not limited to text, graphics, visual interfaces, photographs, artwork, logos, trademarks, product designs, software, audio and video materials, page layouts, compilations, data, information, and the overall appearance and presentation of the Site (collectively, the “Content”), are owned by, controlled by, or licensed to the Diamond Forest, its affiliates, licensors, or content providers. Such Content is protected under applicable United States and international copyright, trademark, patent, trade dress, and other intellectual property and proprietary rights laws. Diamond Forest grants you a limited permission to access and use the Site solely for personal, informational, and non-commercial purposes. You may electronically copy or print portions of the Content only for your individual use, provided that all proprietary notices remain intact. Except as expressly authorized in these Terms, you may not reproduce, distribute, modify, display, transmit, publish, create derivative works from, sell, license, or otherwise exploit any portion of the Content without prior written authorization from Diamond Forest.

No provision of these Terms or any material appearing on the Site shall be interpreted as conferring any ownership interest, license, or right to use any trademark, logo, trade name, service mark, or other proprietary material displayed on the Site without the express written consent of Diamond Forest or the applicable rights holder. Any unauthorized use of the Site or its Content may violate intellectual property laws and may result in legal action to protect the Diamond Forest’s rights and interests.

Trademark

Diamond Forest ™, and all other product names, service names, logos, and marks displayed on our website are trademarks of Diamond Forest Inc and/or its licensors. These trademarks may not be copied, reproduced, imitated, or used, in whole or in part, without prior written consent from Diamond Forest Inc or the respective trademark owner.”

Permitted Access and Acceptable Use of the Site

Subject to these Terms and Conditions, Diamond Forest grants you a limited, personal, revocable, non-exclusive, and non-sublicensable license to access and use the Site and its materials solely for lawful, personal, informational, and non-commercial purposes. You may electronically copy, download, or print limited portions of the Site content for your own individual use, provided that all copyright, trademark, and proprietary notices remain intact and no additional rights are claimed over such materials. This limited permission does not authorize or permit: (a) the commercial use, resale, or exploitation of the Site or any content available through the Site; (b) the collection, reproduction, or use of product listings, descriptions, pricing information, photographs, or other materials for commercial purposes; (c) the publication, distribution, display, transmission, or public performance of any Site content; (d) the alteration, adaptation, translation, reverse engineering, or creation of derivative works from the Site or any portion thereof; (e) the use of automated technologies or processes, including robots, spiders, crawlers, scraping tools, data mining tools, or similar methods to access, monitor, extract, or interact with the Site; (f) downloading or copying Site content other than temporary internet caching or as expressly permitted by the Company; (g) displaying pop-ups, overlays, advertisements, frames, banners, or other technologies that interfere with or obstruct the normal presentation or functionality of the Site; (h) using the Site in any manner that disrupts, damages, overloads, or interferes with the operation or security of the Site; or (i) using the Site or its content for any unlawful, unauthorized, or unintended purpose.

Any use of the Site or its materials beyond the scope expressly permitted under these Terms and Conditions is strictly prohibited without Diamond Forest’s prior written consent. Unauthorized use may violate applicable intellectual property laws, communications laws, and other federal, state, or international laws and regulations, and may result in the immediate termination of the license granted herein. Nothing contained in these Terms and Conditions shall be interpreted as granting any ownership interest or license to any intellectual property rights of Diamond Forest or any third party, whether by implication, estoppel, or otherwise. Diamond Forest reserves the right to revoke or restrict access to the Site at any time and for any reason permitted by law.

Information On Our Site

Diamond Forest strives to ensure that all information presented on the Site, including information communicated through email, chat, telephone conversations, marketing materials, and customer support channels, is current, accurate, and informative. However, despite reasonable efforts, Diamond Forest does not guarantee that all descriptions, pricing, specifications, availability details, images, measurements, or other content on the Site will always be complete, accurate, reliable, or error-free. Occasional typographical errors, inaccuracies, delays in updates, or system-related discrepancies may occur, including with respect to pricing and inventory information. Diamond Forest reserves the right to correct any such errors, inaccuracies, or omissions at any time without prior notice, including after an order has been submitted. In the event that a product is mistakenly listed at an incorrect price or with inaccurate information, Diamond Forest reserves the right, in its sole discretion, to refuse, cancel, or limit any order placed for such product. If payment has already been processed for an order that is subsequently cancelled due to an error, Diamond Forest may issue a refund or contact the customer regarding available options. Information communicated by Diamond Forest shall not constitute a binding representation or contractual guarantee, and a customer’s sole remedy arising from reliance on inaccurate information shall be cancellation of the affected order or return of the product in accordance with the applicable return policy.

Due to variations in screen settings, display technologies, photography techniques, and manufacturing processes, products displayed on the Site may appear different in color, size, scale, or detail from the actual product received. Product images, videos, and 3D renderings are provided for illustrative and visual reference purposes only.

Measurements, dimensions, and product specifications are approximate and may be subject to commercially reasonable manufacturing tolerances. In accordance with applicable industry standards and FTC guidelines, total carat weight may vary by up to 0.05 carats from the stated weight. Gemstone and pearl measurements may vary within an acceptable tolerance range, and certain jewelry dimensions, including ring widths and band measurements, may differ slightly due to finishing and production processes. For diamond jewelry featuring multiple diamonds, the stated total carat weight represents the minimum total carat weight for the piece. Color and clarity grades displayed on the Website are expressed as minimum quality standards. In certain cases, separate minimum color and clarity grades may be provided for center diamonds and side diamonds, and such details will be specified within the applicable product description or product details section. All diamonds included in the jewelry piece will meet or exceed the stated quality standards displayed on the product page.

Diamond Forest maintains a dynamic inventory and product availability is subject to change without notice. Product details, specifications, and pricing may be modified or updated at any time in Diamond Forest’s discretion. Diamond Forest also retains all rights, title, and interest in and to all jewelry designs, including custom, modified, or standard designs, and reserves the unrestricted right to reproduce, market, display, or sell jewelry incorporating such designs.

All representations regarding gemstone origin, recycled or repurposed precious metal content, estate information, and similar product attributes are provided to the best of Diamond Forest’s knowledge and without any guarantee or warranty of any kind.

Product Availability and Inventory

All products displayed on the Site are subject to availability and inventory confirmation. In certain circumstances, a product may appear available at the time you place an order, but become unavailable before the order is processed or fulfilled due to high demand, inventory discrepancies, or simultaneous purchases by other customers. Accordingly, Diamond Forest reserves the right to cancel or decline any order, including after an order confirmation has been issued, without liability or penalty where the requested product is no longer available. In limited situations, a shipping or dispatch confirmation may be sent before an inventory issue is identified. If the Diamond Forest or its third-party fulfilment provider is subsequently unable to fulfil the order due to product unavailability, the Diamond Forest may revoke acceptance of the order and issue a cancellation and applicable refund without further obligation.

Certain products may also be temporarily unavailable or placed on backorder. Although Diamond Forest strives to update product availability information promptly, delays in inventory updates may occasionally occur. If an item becomes unavailable after your order is placed, Diamond Forest may contact you to discuss available alternatives, revised fulfilment timelines, substitutions, or cancellation options. Customers seeking information regarding backordered or out-of-stock products may contact customer support for estimated restock availability.

Your Account and Order

When you access or use the Diamond Forest website or your personalized account with us, you are responsible for maintaining the confidentiality of your account credentials and limiting access to your device. You are also responsible for all activities conducted through your account and password. Users under the age of 18 may only use www.diamondforest.com with the supervision and consent of a parent or legal guardian. We reserve the right, at its sole discretion, to refuse service, terminate accounts, modify or remove content, or cancel orders at any time.

Pricing

In rare instances, pricing or other product information displayed on the Site may contain inaccuracies due to typographical, system, or technical errors. While Diamond Forest makes reasonable efforts to ensure accuracy, such errors may occur, and Diamond Forest reserves the right to correct, update, or modify any information, including pricing, at any time without prior notice. Inadvertent errors or incorrect advertised prices are not binding on Diamond Forest and shall not be honored.

If a product is listed at an incorrect price, Diamond Forest may, at its sole discretion, either contact the customer for instructions prior to shipment or cancel the order and notify the customer accordingly. If an order has already been processed or shipped at an incorrect price, the customer agrees to either return the product or pay the difference between the actual price and the amount charged.

All prices are subject to change without notice. Diamond Forest may, at its sole discretion, offer price adjustments or honor promotional pricing upon request. Where approved, any adjustment will be issued as a credit for the difference to the original payment method.

Diamond Forest does not guarantee price matching with competitors and reserves the right to determine eligibility for any price adjustments or promotional considerations. For any questions regarding pricing, customers may contact Diamond Forest’s customer support team.

Payment Method Details

We accept payments through Stripe, PayPal, and financing through Affirm. After selecting your jewelry and adding it to your cart, you will be prompted during checkout to enter any promotional codes and provide your payment, shipping, and billing information. Once your order is placed, the total purchase amount will be processed using the payment method you selected at checkout.

Diamond Certificates & Grading Reports

When you purchase a certified loose diamond, it will be delivered together with its corresponding diamond grading report (also referred to as a diamond certificate). These reports are prepared by independent gemological laboratories and contain detailed assessments of the diamond’s characteristics. Due to the cost associated with issuing and replacing these grading reports, the original certificate must be returned along with any eligible diamond return. If the grading report is not included with the returned diamond, a replacement fee of US $ 100 may be charged.

Privacy Policy

Please refer to our Privacy Policy for detailed information regarding how Diamond Forest collects, uses, stores, processes, and discloses personal information obtained through your use of the Site, purchases, account registration, customer service interactions, and related services. By accessing or using the Site, you acknowledge and agree to the data practices described in our Privacy Policy, including the collection of information for order processing, fraud prevention, marketing communications, analytics, and customer support purposes.

Comparison Purchasing / Return Abuse

Diamond Forest strictly prohibits comparison purchasing, including the purchase of multiple jewelry items, diamonds, or similar products with the intention of selecting one item and returning the remaining merchandise. Such activity creates excessive operational, inventory, and restocking costs and may be considered misuse of the Company’s return policy. Diamond Forest reserves the right, at its sole discretion, to refuse returns, deny refunds, impose restocking fees, limit future purchases, suspend accounts, or cancel orders associated with suspected comparison purchasing behavior or abuse of return privileges. Customers seeking assistance in selecting a product are encouraged to contact Diamond Forest’s customer support team prior to purchase.

Promotions or Advertisements

Diamond Forest may display, promotional offers, advertisements, or links provided by third parties on the Site. Any interactions, transactions, communications, or participation in promotions between you and such third parties are solely between you and the applicable third party and are governed by their respective terms and policies. Diamond Forest does not endorse, control, or assume responsibility for any third-party products, services, representations, warranties, or promotional activities and shall not be liable for any loss, damage, claim, or dispute arising from or related to your dealings with such third parties or the presence of third-party content on the Site.

Feedback and Submissions

Any feedback, suggestions, ideas, reviews, comments, designs, images, or other materials submitted by you to Diamond Forest through the Site or any communication channels shall be considered non-confidential and shall become the sole property of Diamond Forest upon submission. Diamond Forest shall have the unrestricted right to use, reproduce, modify, publish, display, or distribute such submissions for any lawful purpose, commercial or otherwise, without notice, acknowledgment, or compensation to you.

By submitting content, you represent and warrant that you own or have the necessary rights to provide such content, and that the content does not violate any law, infringe any third-party rights, or cause harm to any person or entity.

Social Media - Content Contributions

From time to time, Diamond Forest may request permission from social media users to feature their content across our website, social media platforms, or marketing and promotional materials. “User Content” refers to any text, images, videos, audio, graphics, comments, or other materials shared on social media that you agree to make available to Diamond Forest for business, advertising, promotional, and related purposes.

By providing such permission, you grant Diamond Forest and its affiliates, partners, service providers, and licensees a worldwide, perpetual, irrevocable, royalty-free, and sublicensable right to use, reproduce, modify, adapt, publish, distribute, and display your User Content in any form or media, now known or developed in the future, for commercial or promotional purposes at Diamond Forest’s sole discretion, without further notice or compensation.

You also authorize Diamond Forest to use your name, username, likeness, image, voice, location, and other identifying details in connection with such content. You confirm that you either own or have obtained all necessary rights to the content you submit, that you are not a minor, and that your submission does not infringe upon any third-party rights or violate any applicable laws. You further agree that your content will not be unlawful, defamatory, offensive, obscene, or otherwise inappropriate.

All User Content submitted is deemed non-confidential. Diamond Forest may collect, process, store, and transfer associated personal information in accordance with applicable privacy laws and its Privacy Policy, including transfers to other jurisdictions where necessary. Diamond Forest reserves the right to remove any User Content at its sole discretion.

Product Reviews and User Content

Diamond Forest’s Site and social media channels may include, now or in the future, features such as product reviews, comment sections, discussion boards, or other interactive tools that allow users or third parties to create, post, store, or share content, messages, or materials (collectively, “Interactive Areas”). You are solely responsible for any content you post or share through these Interactive Areas.

By using these features, you agree not to upload, post, transmit, store, or otherwise distribute any content (“User Content”) that is unlawful, harmful, or inappropriate, including content that is defamatory, obscene, pornographic, abusive, harassing, threatening, fraudulent, or otherwise objectionable. You also agree not to submit content that encourages illegal activity, violates any law or regulation, or infringes upon the rights of any individual or entity, including intellectual property rights.

You further agree not to post content that impersonates any person or misrepresents your affiliation, contains unsolicited advertising or promotions, includes private or sensitive personal information of others, or introduces viruses, malware, or other harmful code. Diamond Forest reserves the right to determine, at its sole discretion, whether any content is inappropriate, harmful, or disruptive to the Site or other users.

By submitting User Content to the Site or granting permission for its use, you grant Diamond Forest a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from such content in any media. You also permit Diamond Forest to use your name or identifier in connection with such content, where applicable.

You represent and warrant that you own or have the necessary rights to any content you submit, that it is accurate and not misleading, and that its use by Diamond Forest will not violate any rights or cause harm to any person or entity.

Diamond Forest is not responsible or liable for any User Content posted by you or third parties, or for any loss or damage arising from such content. The Company does not endorse user-generated content and is not liable for any offensive, incorrect, or unlawful material that may appear in Interactive Areas. Diamond Forest reserves the right, at its sole discretion, to remove, edit, or moderate any content at any time without notice. You are responsible for maintaining backup copies of any content you post.

Any misuse of the Interactive Areas in violation of these Terms may result in suspension or termination of access to the Site or related features.

Text Message (SMS) Communications

By providing your mobile number on www.diamondforest.com and affirmatively opting in (for example, requesting an OTP/verification code, joining a guest-list or SMS program, or checking an unchecked SMS consent checkbox), you consent to receive automated text messages from Diamond Forest at that number. Message types may include: (1) one-time passcodes and account/security verification messages; (2) order, shipping, appointment, and customer-support notices; and/or (3) promotional or personalized marketing messages (including abandoned-cart reminders and guest-list offers) when you separately consent to marketing SMS.

Message frequency varies. OTP/verification messages are sent only when requested. Promotional SMS, when opted in, may be up to 4 messages per month. Message and data rates may apply. Dispute Resolution and Arbitration

These Terms and Conditions, and any access to or use of the Site, shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to any conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, the use of the Site, any transaction conducted through the Site, or the interpretation, enforcement, breach, or termination of these Terms and Conditions (collectively, “Disputes”) shall be resolved exclusively through final and binding arbitration rather than through litigation in court, except that either party may pursue an eligible individual claim in a small claims court of competent jurisdiction.

You agree that all Disputes must be brought solely in an individual capacity and not as a plaintiff, claimant, class representative, or participant in any class, collective, consolidated, or representative proceeding. The parties expressly waive any right to participate in a class action or class-wide arbitration. You understand and agree that, by accepting these terms and conditions, you are waiving the right to a jury trial and to participate in a class or representative action. Any declaratory or injunctive relief awarded shall be limited solely to the individual party seeking such relief and only to the extent necessary to address that party’s specific claim. 

The parties further agree that the Federal Arbitration Act (“FAA”) governs the interpretation and enforcement of this arbitration provision. Any arbitration proceeding shall be administered by the American Arbitration Association (“AAA”) in accordance with its then-current applicable arbitration rules and procedures. The arbitrator shall have the authority to award any remedies available under applicable law, including legal, equitable, and declaratory relief, subject to the limitations set forth in these Terms and Conditions. Any arbitration award shall be final, binding, and confidential, and judgment on the award may be entered in any court having competent jurisdiction. This arbitration provision shall survive the termination of these Terms and Conditions and any relationship between you and Diamond Forest.

Limitation Of Liability

In no event shall Diamond Forest, its directors, members, employees, affiliates, agents, or representatives be liable for any direct, indirect, incidental, special, punitive, exemplary, or consequential damages of any kind, including but not limited to loss of use, loss of profits, loss of data, or other intangible losses, whether arising in contract, tort (including negligence), strict liability, or otherwise, and whether or not Diamond Forest has been advised of the possibility of such damages.

This limitation of liability applies to any claims arising out of or in connection with the use of the Site, products, services, or any content accessed through the Site, including reliance on information provided by Diamond Forest. It also includes damages resulting from errors, omissions, inaccuracies, interruptions, delays, file or email deletions, defects, viruses, system failures, or transmission issues, as well as events beyond reasonable control such as acts of God, communications failures, theft, destruction, or unauthorized access to systems or records.

In no event shall Diamond Forest’s total liability for any claim exceed the amount paid by the customer for the product or service that is the basis of the claim. Some jurisdictions do not allow certain limitations or exclusions of liability or implied warranties, so certain provisions may not apply to all users, and users are responsible for understanding applicable local laws.

Disclaimer of Warranties

The Site, along with all content, materials, and products offered through it, is provided on an “as is” and “as available” basis without any warranties of any kind, whether express or implied. Diamond Forest makes no representations or guarantees regarding the operation of the Site or the accuracy, completeness, reliability, or availability of any information, content, or products featured on it.

By using the Site, you agree that you do so at your own risk and voluntarily accept full responsibility for any outcomes resulting from such use. To the fullest extent permitted by law, Diamond Forest disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement in relation to the Site and its contents.

Diamond Forest does not warrant that the Site, its servers, or any communications sent from it are free from errors, interruptions, delays, inaccuracies, or harmful components such as viruses or malware.

Indemnification

As a User, you agree to defend, indemnify, and hold harmless Diamond Forest, along with its affiliates, contractors, service providers, consultants, and their respective directors, officers, employees, and agents, from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the Site, your inability to use the Site, or any violation of these Terms and Conditions.

This includes any claims arising from your actions or content, your breach of these Terms, or your infringement of any rights of a third party, as well as any actual or threatened legal actions, demands, or proceedings brought against Diamond Forest or its related parties in connection with the foregoing.

Infringer Policy

In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws, Diamond Forest reserves the right, at its sole discretion, to terminate or restrict access for any user or account holder who is determined to be a repeat infringer under appropriate circumstances. Diamond Forest further reserves the right to limit website access or suspend or terminate any account where there is a reasonable belief or suspicion of infringement of intellectual property rights, whether or not such conduct constitutes repeated infringement.

Termination

Regardless of any provisions contained in these Terms and Conditions, Diamond Forest reserves the right, at its sole discretion and without prior notice, to terminate your license to use the Site and to restrict, block, or prevent your future access to or use of the Site.

Amendments and Updates

You agree that Diamond Forest may update, revise, or modify these Terms and Conditions and any related policies at any time. Any changes will be effective upon posting the updated Terms or policies on the Site, which shall serve as sufficient notice of such modifications.

Severability

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable for any reason, that provision shall be considered severable and shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

General Terms

These Terms and Conditions constitute the entire agreement between you and Diamond Forest regarding your use of the Site and supersede all prior agreements or understandings relating to the same subject matter. Any failure by Diamond Forest to enforce any provision of these Terms and Conditions shall not be deemed a waiver of its right to enforce each and every such provision or any other provision at a later time. Any waiver of a breach or default shall not constitute a waiver of any subsequent breach or default. If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, such provisions shall be treated severable from the remaining provisions and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law. Any provisions which by their nature are intended to survive termination, including provisions relating to intellectual property, liability limitations, dispute resolution, and enforcement rights, shall remain effective after termination or expiration of these Terms and Conditions.
